ING Bank Slaski to Acquire Full Ownership of Goldman Sachs TFI

(Reuters) -ING Bank Slaski said on Tuesday that it had agreed to acquire the remaining 55% stake in Polish asset management company Goldman Sachs TFI from Goldman Sachs Asset Management International Holdings for 396 million zlotys ($108 million).

The lender, the Polish unit of Dutch bank ING Groep, already holds a 45% stake in Goldman Sachs TFI via its subsidiary, it said.

Goldman Sachs TFI serves over 736,000 clients, managing open mutual funds within various asset classes and dedicated asset management portfolios, ING said.

It holds the second position in the Polish market in terms of assets under management of capital market mutual funds with a market share of around 12%, the bank said.

The final purchase price will be adjusted to include the dividend equivalent for the period from January 1, 2026 to the month preceding the closing of the transaction, ING Bank Slaski said.

The lender expects that the transaction will reduce its consolidated total capital ratio and Tier 1 ratio, both key measures of its financial strength, by around 34 basis points.

Completion of the transaction is expected in the first half of 2026, subject to regulatory approvals, it added.
